The document proposes a way for digital tokens to change from being regulated as securities to being treated as commodities. This would happen once the blockchain network behind them becomes sufficiently decentralized – specifically, when no single entity controls more than about 20% of the tokens and the network is open for anyone to use.

Here’s how it works: if a project can prove to the Securities and Exchange Commission (SEC) that it meets certain criteria, it could move out of securities regulation and instead be governed by commodity rules enforced by the CFTC. This would resolve the legal uncertainty that has made it risky to issue digital tokens in the U.S. for years. Senator Tim Scott, who leads the Senate Banking Committee, had already suggested a vote was coming soon, which adds weight to the current efforts to change the rules.
